3. Client Responsibilities

As a client of Alpha Essentials USA, you agree to:

• Respond to requests for information in a timely manner
• Comply with all applicable laws and regulations
• Pay all fees according to the agreed payment terms
• Maintain confidentiality of any proprietary information shared by us
• Use our services only for lawful business purposes

4. Payment Terms

Payment terms will be specified in individual service agreements. General payment conditions include:

• Fees are due according to the payment schedule outlined in your service agreement
• Late payments may incur additional fees or interest charges
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise specified in writing
• Prices are subject to change with 30 days' notice

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our business relationship. This obligation continues even after the termination of services.

6. Intellectual Property

All materials, methodologies, and intellectual property developed by Alpha Essentials USA remain our exclusive property unless otherwise agreed in writing. Clients retain ownership of their proprietary information and data.

7. Service Limitations and Disclaimers

Our services are provided "as is" and "as available." We make no warranties, express or implied, regarding:

• The accuracy, completeness, or reliability of our services
• Uninterrupted or error-free service delivery
• Specific results or outcomes from our services
• The suitability of our services for your particular needs

8. Limitation of Liability

To the maximum extent permitted by law, Alpha Essentials USA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services. Our total liability shall not exceed the amount paid by the client for services in the six months preceding the claim.

9. Termination

Either party may terminate services under the following conditions:

• With written notice as specified in the service agreement
• Immediately for material breach of these terms
• Immediately if the other party becomes insolvent or bankrupt

Upon termination, the client remains responsible for payment of all fees for services rendered up to the termination date.

10. Indemnification

You agree to indemnify and hold harmless Alpha Essentials USA from any claims, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.

11. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Brooklyn, New York.

12. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.

14. Severability

If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
